A Memorandum of Understanding (MOU) is a written agreement to work in partnership that lays out the expectations and actions for each partner. This template is based on a real example and can be adapted and used by other organisations in different contexts. However, if it is intended to be legally binding then we recommend it is checked by someone with appropriate skills/experience in such agreements, or an independent legal adviser.
Overview
A non-legally binding document that can be used as a basis for recording negotiations and statements of intent prior to a more formal and legally binding document being signed.
Purpose
To record the outcomes of discussions and negotiations on what kind of collaboration or partnership is envisaged by the parties, which is usually confidential to the parties and their board members.
Legal Status
It is not intended to be legally binding or enforceable.
This should be clearly stated at the beginning of the document.
Culture and values
It very important to discuss and agree cultures and values in relation to the work or programme. Failure to do this can lead to disputes and even abandonment of the programme. For example;
- In the template example about tackling obesity in children, recognition of the importance of addressing the underlying and/or related difficulties the child experiences may be a key element in successful partnership working.
- In the template example about street drinkers, some organisations insist on a “dry” approach where they will not work with someone who has been drinking within the past 24 hours, whereas others adopt what is known as a “damp” approach, which is more flexible.
How to use this template
The template shows two parties, A and B. If there are more than two, you should add each one in the section on the first page under “BETWEEN”.
Each party should be described in terms of its legal structure, geographical area of operation and the services it provides.
Try to use clear and concise language. The less this looks like a legally binding document, the better.
